1. Definitions 

• “Account” means a registered user account on the ValueBack platform. 

• “Marketplace” means third-party e-commerce or retail platforms, including but not limited to Amazon and Walmart. 

• “Marketplace Data” means reports, transaction records, invoices, deductions, chargebacks, shipment data, and related information retrieved from a Marketplace. 

• “Recovered Amount” means funds approved and paid by a Marketplace to the Client in connection with recovery efforts supported by the Services. 

• “Services” means ValueBack’s AI-powered analytics, recovery assistance, reporting, and related tools. 

2. Eligibility and Authority 

You represent and warrant that: 

• You are at least eighteen (18) years of age; 

• You have the authority to enter into these Terms on behalf of yourself or the entity you represent; and 

• Your use of the Services complies with all applicable laws, regulations, and Marketplace policies. 

3. Account Registration and Security 

To access certain features, you may be required to create an Account. You agree to provide accurate, current, and complete information and to keep such information updated. 

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. ValueBack is not responsible for unauthorized access resulting from your failure to safeguard credentials. 

4. Authorization to Access Marketplace Accounts 

By connecting your Marketplace accounts, including Amazon (Seller Central or Vendor Central) and Walmart (Seller Center or Marketplace), you expressly authorize ValueBack to: 

• Access, retrieve, store, and analyze Marketplace Data; 

• Prepare documentation and supporting materials related to discrepancies, deductions, or adjustments; and 

• Use such data solely for the purpose of providing the Services. 

You confirm that you have all necessary rights and permissions to grant this access. 

5. Scope of Services 

5.1 AI-Powered Recovery Assistance 

ValueBack provides automated and AI-assisted tools designed to help identify potential billing discrepancies, shortages, chargebacks, and compliance-related deductions across supported Marketplaces. 

5.2 Marketplace Independence 

ValueBack is not affiliated with, endorsed by, sponsored by, or partnered with Amazon, Walmart, or any other Marketplace. 
All Marketplace names, trademarks, and logos are the property of their respective owners. 

5.3 Marketplace Outcomes 

The Services are intended to support Clients in identifying and pursuing potential recovery opportunities. Final determinations regarding reimbursements, refunds, or account adjustments are made exclusively by the applicable Marketplace in accordance with its policies and procedures. 

Nothing in these Terms shall be interpreted as a promise or assurance of a specific financial outcome. 

6. Client Responsibilities 

You agree to: 

• Maintain accurate, complete, and up-to-date Marketplace Data; 

• Respond promptly to reasonable requests for information or clarification; 

• Comply with all applicable Marketplace rules, policies, and guidelines; 

• Avoid submitting duplicate, misleading, or conflicting claims without coordination. 

ValueBack is not responsible for delays, denials, or adjustments resulting from inaccurate, incomplete, or outdated information provided by the Client. 

7. Intellectual Property 

All rights, title, and interest in and to the Services, including software, algorithms, workflows, dashboards, documentation, and related materials, are and shall remain the exclusive property of ValueBack or its licensors. 

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services solely for your internal business purposes and in accordance with these Terms. 

8. Data Ownership and Privacy 

You retain ownership of your Marketplace Data. You grant ValueBack a limited, non-exclusive license to use, store, process, and analyze such data solely to provide and improve the Services. 

Personal data is handled in accordance with our Privacy Policy. 

9. Confidentiality 

Each party agrees to maintain the confidentiality of any non-public business, technical, or financial information received from the other party and to use such information solely for purposes related to the Services, unless disclosure is required by law. 

10. Disclaimers 

The Services are provided on an “as available” basis and are designed to support data analysis, reporting, and recovery assistance workflows. While ValueBack strives to provide reliable and effective tools, outcomes may vary based on Marketplace policies, data accuracy, and external factors beyond ValueBack’s control. 

ValueBack does not warrant that the Services will be uninterrupted, error-free, or free from technical limitations. 

11. Limitation of Liability 

To the maximum extent permitted by law: 

• ValueBack shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to the Services; 

• ValueBack’s total liability shall not exceed the amount paid by the Client to ValueBack during the twelve (12) months preceding the event giving rise to the claim, if applicable. 

12. Indemnification 

You agree to indemnify and hold harmless ValueBack, its affiliates, and their respective officers, directors, and employees from any claims, damages, liabilities, or expenses arising out of: 

• Your misuse of the Services; 

• Your violation of Marketplace policies or applicable laws; 

• Your breach of these Terms. 

13. Termination 

ValueBack may suspend or terminate your access to the Services: 

• For violation of these Terms; 

• To comply with legal, regulatory, or Marketplace requirements; 

• To protect the integrity or security of the Services. 

Upon termination, all licenses granted under these Terms shall immediately cease. 

14. Modifications to Terms 

ValueBack may update these Terms from time to time. Continued use of the Services after updated Terms are posted constitutes acceptance of the revised Terms. 

15. Governing Law 

These Terms shall be governed by and construed in accordance with the laws of [Insert Jurisdiction], without regard to conflict of law principles.
